REILink Terms of Use

Thank you for visiting REILink. These Terms of Use govern your use of this Platform and are agreed to between REILink ("REILink", "we", "us", "our") and you as an individual, or, if you represent an entity or other organization, that entity (in either case, “you” or “your”). Capitalized terms used in these Terms of Use are defined within these Terms or in Section 18 (Definitions).

1. Your Acceptance of These Terms

These Terms of Use apply to all users of this Platform, whether or not you are a registered member. By accessing or using any part of this Platform or its Content or by clicking a box that states that you accept or agree to these Terms of Use, you agree that you have read and agree to comply with and be bound by these Terms of Use. If you do not agree to these Terms of Use, you may not access or use this Platform or any Content.

If you are entering into these Terms of Use on behalf of an entity, by accessing or using any part of this Platform or Content or by clicking a box that states that you accept or agree to these Terms of Use, you represent and warrant that you have authority to bind that entity to these Terms of Use.

By agreeing to these Terms of Use, you also agree to the terms of our Privacy Policy and our Community Rules & Participation Manual, each of which is expressly incorporated herein. Before using this Platform, please carefully review these documents. All personal information provided to us as a result of your use of this Platform will be handled in accordance with our Privacy Policy. To the extent there are inconsistencies between these Terms of Use and our Privacy Policy, these Terms of Use control.

2. Your Consent to Other Agreements

When you use a special feature of this Platform (e.g., subscribing to a premium service, participating in a specific program), you may be asked to agree to special or additional terms governing your use of that feature ("Supplemental Terms"). In such cases, you may be asked to expressly consent to the Supplemental Terms, for example, by checking a box or clicking on a button marked “I agree” (a “click-through” agreement). If any of the terms of the Supplemental Terms are different than the terms of these Terms of Use, the terms of the Supplemental Terms will supplement or amend these Terms of Use, but only with respect to the matters governed by such Supplemental Terms.

3. Eligibility & Account Responsibilities

You must be at least 18 years old and capable of entering a legally binding agreement to use REILink. You are responsible for maintaining the confidentiality of your login credentials (username and password) and for all activity conducted under your account, whether or not authorized by you.

You agree to:

• Provide true, accurate, current, and complete information during registration and in your profile.
• Maintain and promptly update your account information to keep it true, accurate, current, and complete.
• Use your real name and professional identity.
• Not create multiple accounts for a single individual to circumvent limitations or abuse platform features.
• Change your password immediately if you believe it may have been compromised.
• Immediately inform us of any apparent breaches of security such as loss, theft, or unauthorized disclosure or use of your username or password by contacting us at support@reilink.com. Until we are so notified, you will remain liable for any unauthorized use of your account.

4. REILink’s Role & Platform Nature

REILink is a technology platform providing tools, data, networking opportunities, and content for real estate professionals, investors, wholesalers, buyers, and service providers. Our Services include, but are not limited to, the Deal Laboratory, Calculizers™, OfferAid™, DispoAid™, Contract Repository, HelpNet™, REILink Profiles, REIU, and Community forums.

REILink is not a Real Estate Broker, Agent, Lender, Fiduciary, Financial Advisor, or Escrow Agent. We do not represent any party in any transaction. All agreements, contracts, assignments, loans, partnerships, joint ventures, or service arrangements facilitated or initiated through the Platform are solely between the respective users. REILink is not a party to, nor responsible for, the performance, quality, legality, truthfulness, or accuracy of any User Content, listing, file, post, deal, service offering, or user-to-user transaction on the Platform. You engage with other users and their content at your own risk.

5. User-Generated Content (UGC) & Conduct

You are responsible for any deal information, messages, files (including contracts, SOWs, images, videos), comments, profile information, and other content you post, upload, or transmit via the Platform (“User-Generated Content” or “UGC”).

Your Ownership and License to REILink: You retain ownership of the copyright in any original UGC you post. However, by posting UGC on or through the Platform, you grant REILink and its affiliates, successors, and assigns a non-exclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free, transferable license (with the right to sublicense) to use, copy, modify, distribute, publicly display and perform, publish, transmit, remove, retain, repurpose, and commercialize UGC you post in any and all media or form of communication, without additional consent, restriction, notification, or compensation to you. This license allows us to operate, promote, and improve the Platform. Therefore, do not post any UGC you do not wish to license to us, including confidential information or proprietary business ideas.

Advertisements: REILink and its partners reserve the right to display advertisements in connection with your UGC and to use your UGC for advertising and promotional purposes related to the Platform.

Prohibited Content & Conduct: You may not post or transmit UGC that is:

• Unlawful, fraudulent, harmful, hateful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, pornographic, profane, racially disparaging, indecent, or invasive of another’s privacy.
• Constitutes or encourages activity illegal under criminal or civil law.
• False, misleading, or deceptive (including "ghost deals" or misrepresenting property conditions/values).
• Infringes on the intellectual property (patents, copyrights, trademarks, trade secrets), privacy, publicity, or contractual rights of others.
• Contains images, names, or likenesses of others without their express permission (or parental/guardian permission if under 18).
• Solicits personal/private information inconsistent with the Platform's professional networking goals.
• Solicits money, goods, or services for private gain, except in designated areas (e.g., a future "Classifieds" or "Service Marketplace" if explicitly provided by REILink).
• Contains unauthorized advertising, promotions, or marketing, except within features expressly allowing such (e.g., your Business Page services section).
• Contains software viruses, worms, trojan horses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

Furthermore, you agree not to:

• Impersonate any person or entity or falsely state or misrepresent your affiliation.
• Use the Platform to spam, harass, scrape data, or engage in manipulative practices.
• Violate any applicable local, state, national, or international law, rule, or regulation.

By posting UGC, you represent and warrant that you own or control all rights to such UGC, it is accurate, and your UGC fully complies with these Terms and will not cause injury to any person or entity.

Monitoring and Removal: REILink has the right (but not the obligation) to monitor, remove, or block any UGC at any time, without notice, at our sole discretion. We may also disclose UGC and user identity if required by law or to enforce these Terms. Our exercise of such discretion does not make us owners of your UGC.

6. Platform Tools (Calculizers™, OfferAid™, DispoAid™, etc.) & Limitations

REILink provides various analytical tools, calculators, and data visualizations (e.g., OfferAid™, DispoAid™, Calculizers™, DAP Forecast Curves, SmartMatch™ Scores) to assist in deal evaluation and decision-making. These Tools are for informational and educational purposes only and do not constitute investment, financial, legal, or real estate advice.

The outputs from these Tools are based on user-provided data, historical market data (where applicable), and our proprietary algorithms. They are not guaranteed to reflect actual market results, buyer behavior, or future investment performance. Market conditions are dynamic and can change rapidly. Your reliance on these Tools is entirely at your own risk. You agree not to manipulate input data with the intent to mislead other users, artificially inflate visibility, or exploit the system's scoring mechanisms.

REILink recommends that you always seek the advice of qualified professional advisors (e.g., real estate professionals, financial advisors, attorneys, accountants) before making any investment or real estate decision. Independently verify any calculation or output obtained from a Tool.

7. The Vault & Uploaded Files

The REILink Vault allows users to upload, store, and potentially share documents (contracts, checklists, templates, etc.). By uploading files to the Vault, you represent and warrant that:

• You own the file or have all necessary rights and permissions to upload and share it in the manner you choose.
• The file is free of viruses, malware, tracking code, or any unauthorized embedded data.
• You are not sharing copyrighted material belonging to others without permission (e.g., paid course materials from third parties, stolen documents).

You retain copyright to your original uploaded files. However, if you choose to share files publicly or with specific users/groups within REILink, you grant REILink a license to store, display, and distribute those files as necessary to provide the Platform's services and to promote or feature valuable Vault contributions. REILink is not responsible for misuse of shared files by other users.

8. Subscriptions, Payments, Trials, Renewals & Refunds

Certain features and access levels on REILink may require a paid subscription ("Subscription") or one-time payments. All fees are stated in U.S. Dollars unless otherwise specified.

Trials: We may offer free or discounted promotional trial periods ("Trial Period") for certain Subscriptions. Trials will automatically convert to a paid Subscription (typically annual, unless otherwise stated in the offer) at the end of the Trial Period at the then-current non-discounted rate, unless you cancel prior to the conversion date by following the cancellation instructions provided in your account settings or in the offer details.

Automatic Renewals: Subscriptions are generally billed on a recurring basis (e.g., monthly or annually) for the selected "Subscription Term." Your Subscription will automatically renew for subsequent periods of the same duration at the rates in effect at that time, unless (a) you cancel your Subscription prior to the beginning of the renewal Subscription Term, (b) your Subscription is cancelled by us, or (c) you select a different Subscription. Your payment method will be automatically charged.

Cancellation: You may cancel your Trial or Subscription at any time. Cancellation is typically effective at the end of the then-current Trial Period or Subscription Term. To cancel, please visit your account settings on the Platform or follow any specific instructions provided. You must cancel before the renewal date to avoid billing for the next Subscription Term.

Fees & Payments: You agree to pay all applicable fees for your chosen Subscription or service. Fees are typically paid in advance and are non-refundable, except as expressly stated herein or required by applicable law. There will be no refunds or credits for partial months of service, unused features, or accounts terminated due to violations of these Terms. If a Trial is upgraded and then cancelled within 24 hours without significant use of upgraded services, we may, at our discretion, offer a refund minus applicable processing fees.

Payment Issues: We reserve the right to deactivate access for failure to pay applicable fees. If your payment method expires or fails, you agree to promptly update it. You agree to pay all costs of collection, including attorneys’ fees, on any outstanding balance.

Price Changes: REILink reserves the right to change Subscription fees or feature access at any time. We will provide reasonable notice of any price changes, typically before your next renewal. If you do not accept a price change, you may cancel your Subscription before the change takes effect.

9. Intellectual Property & Trademarks

This Platform, including all its Content (databases, software, code, text, graphics, images, audio, video, REILink-generated reports, and analyses), visual designs, logos, and the REILink name and marks, are the exclusive property of REILink or its licensors and are protected under applicable intellectual property laws ("REILink IP").

The REILink names and logos, all product and service names (e.g., OfferAid™, DispoAid™, Calculizers™, HelpNet™, REIU™, SmartMatch™, RealEngine™), graphics, button icons, and trade dress appearing on this Platform are trademarks, service marks, or trade dress of REILink ("REILink Marks"). All other trademarks, product names, company names, logos, or service marks mentioned are the property of their respective owners.

Permission is granted to temporarily access and use this Platform and display, download, or print portions for your personal, educational, noncommercial use only, provided you do not modify the Content, retain all copyright and proprietary notices, and do not copy or post Content on any network or broadcast it. You do not acquire any ownership rights to REILink IP by using the Platform.

You may not:

• Use, copy, reproduce, distribute, republish, download, modify, display, post, or transmit any REILink IP in any form without our express prior written permission.
• Sublicense, lease, or resell the Content or any data therein.
• Incorporate or store the Content within your internal systems for purposes beyond your personal use of the Platform.
• Decompile, disassemble, reverse engineer, or attempt to derive any Content source code.
• Create competing platforms, tools, or services using the intellectual insights, structure, features, or visual designs of REILink.
• Display or use REILink Marks in any manner without our prior written permission.

10. Your Feedback

Any suggestions, ideas, improvements, or other feedback you provide to us regarding the Platform or Services ("Feedback") will be and remain our exclusive property. You hereby assign to us all worldwide rights, title, and interests in your Feedback, including all copyrights and other intellectual property rights. We will be entitled to use, copy, disclose, display, distribute, improve, and modify any Feedback you submit for any purpose whatsoever, without restriction and without compensating you. Do not send us Feedback you do not wish to assign to us.

11. Service Professionals & HelpNet™

REILink, through features like HelpNet™, may facilitate connections between users seeking services and users offering services as independent professionals (e.g., real estate agents, lenders, contractors, inspectors – "Service Professionals"). REILink does not employ, endorse, or guarantee any Service Professional or the quality of their services. We do not independently verify all representations made by Service Professionals about their services or qualifications, although we may offer "Verified Badge" programs based on specific criteria.

It is entirely your responsibility to evaluate a Service Professional’s qualifications and to enter into a direct contract or agreement with them. Any dealings are solely between you and the Service Professional. REILink is not a party to such agreements and is not liable for their performance, quality, or outcome.

12. Links to Third-Party Websites

The Platform may contain links to other websites operated by third parties or allow you to interact with third-party businesses. We have no control over these third parties and are not responsible for their websites, services, products, content, or privacy practices. Your use of third-party websites is subject to their terms and policies.

REILink may have financial relationships with some third parties mentioned or linked on the Platform and may be compensated if users follow those links or use those services.

13. Disclaimers

WE MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THIS PLATFORM OR ITS CONTENT, OR ANY TOOL, FEEDBACK, PRODUCT, OR SERVICE AVAILABLE ON OR PROMOTED THROUGH THIS PLATFORM. THIS PLATFORM, ALL TOOLS, ANY REILINK-PROVIDED FEEDBACK/ANALYSIS, AND ALL OF ITS CONTENT (INCLUDING USER-GENERATED CONTENT) ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, REILINK, ITS AFFILIATES, AND THEIR SERVICE PROVIDERS AND LICENSORS DISCLAIM ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, ARISING BY STATUTE, CUSTOM, COURSE OF DEALING, COURSE OF PERFORMANCE, OR IN ANY OTHER WAY, WITH RESPECT TO THIS PLATFORM, ITS CONTENT, TOOLS, AND ANY PRODUCTS OR SERVICES AVAILABLE OR PROMOTED THROUGH THIS PLATFORM. 14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS WE, ON BEHALF OF OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS, EXCLUDE AND DISCLAIM LIABILITY FOR ANY LOSSES AND EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING INCLUDING ANY DIRECT, INDIRECT, GENERAL, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; LOSS OF USE; LOSS OF DATA; LOSS CAUSED BY A VIRUS; LOSS OF INCOME OR PROFIT; LOSS OF OR DAMAGE TO PROPERTY; CLAIMS OF THIRD PARTIES; OR OTHER LOSSES OF ANY KIND OR CHARACTER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS PLATFORM OR ANY CONTENT OR TOOLS.

IF ANY PART OF THIS LIMITATION ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN OUR AGGREGATE LIABILITY FOR LIABILITIES THAT OTHERWISE WOULD HAVE BEEN LIMITED SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) AND (B) THE AMOUNT YOU PAID TO REILINK IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

15. Indemnification

You agree to indemnify, defend, and hold harmless REILink, its subsidiaries, affiliates, and their respective officers, directors, agents, partners, and employees, from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of this Platform in violation of these Terms of Use, your breach of these Terms of Use, any breach of your representations and warranties set forth herein, or if any User-Generated Content that you post using this Platform causes us to be liable to another.

16. Disputes Between Users

REILink does not mediate or intervene in any dispute between users. This includes disputes regarding deals, partnerships, assignments, contracts, services provided or received via HelpNet™, or financial loss—regardless of whether REILink was used to facilitate the interaction. Users are solely responsible for resolving such disputes externally and conducting their own due diligence.

17. Modification, Discontinuation, and Termination

We reserve the right at any time to modify, edit, delete, suspend, or discontinue, temporarily or permanently, this Platform (or any portion thereof) or the information, materials, products, or Services available through this Platform (or any part thereof) with or without notice. You agree that we shall not be liable to you or to any third party for any such modification, editing, deletion, suspension, or discontinuance.

You also agree that REILink, in its sole discretion, may terminate or suspend your password, account (or any part thereof), or access to or use of this Platform for any reason, including, without limitation, for lack of use or if REILink believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Use. Any termination of your access may be effected without prior notice. Further, you agree that REILink shall not be liable to you or any third party for any termination of your access.

18. Governing Law, Jurisdiction, and Venue

These Terms of Use will be governed under the laws of the State of [Insert Your State, e.g., Delaware], without regard to its conflicts of law provisions. All actions or proceedings arising out of or relating to these Terms of Use will be brought exclusively in the state or federal courts located in [Insert Your County, Your State, e.g., New Castle County, Delaware]. All waivers must be in writing. Unless the written waiver contains an express statement to the contrary, no waiver by REILink of any breach of any provision of these Terms of Use or of any right provided for herein will be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right under these Terms of Use.

If any provision of these Terms of Use is held by a court of competent jurisdiction to be contrary to applicable law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by such law and the remaining provisions of these Terms of Use will remain in full force and effect.

20. Entire Agreement

These Terms of Use (together with our Privacy Policy, Community Rules & Participation Manual, and any Supplemental Terms or click-through agreements applicable to you) contain the entire understanding and agreement between you and REILink with respect to this Platform and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and REILink with respect to this Platform and your use of this Platform.

21. Definitions

The term “Content” means: (a) all of the databases, software, code, algorithms, and methodologies comprising or used to operate this Platform; and (b) all of the text, data, analyses, reports, photographs, images, illustrations, graphics, sound recordings, video and audio-video clips, and other materials available on this Platform, including User-Generated Content and Feedback.

The term “User-Generated Content” or “UGC” means: (a) your publicly available profile information; (b) deal information, contracts, and associated files you upload to the Contract Repository or Vault; and (c) all content, materials, and information that you post, publish, or upload to this Platform, including through any community or messaging tools. UGC does not include “Feedback.”

The term “Feedback” means Content you post on or through this Platform that is specifically about how we can improve this Platform and the products and services we make available through this Platform.

The term “Tools” refers to the calculators, analysis engines (like OfferAid™, DispoAid™), and other data-processing features available on the Platform.

22. Changes to These Terms

We reserve the right to update or modify these Terms of Use at any time. We will provide notice of any material changes, which may include posting the revised Terms on the Platform or sending an email to the address associated with your account. Your continued use of REILink after such changes are posted constitutes your acceptance of the new Terms of Use. It is your responsibility to review these Terms periodically.
